Companies and corporate relations

The choice of entity depends on the activity, participants, management, funding and desired allocation of liability. Constitutional documents should be working rules, not a formality. They need to address decision-making, representation, distributions and a participant’s exit in a manner suited to the business.

I assist with incorporation, capital and management changes, share transfers, general meetings and registrations. In a shareholder dispute, the first task is to establish the actual legal position and assess whether the conflict can be resolved through a corporate decision or negotiated settlement.

Contracts and transactions

A commercial agreement should reflect the real transaction rather than a generic template. Scope, price, acceptance, warranties, liability, termination and governing law should be aligned with the operating model and the bargaining position of the parties.

When reviewing a contract, I identify ambiguous or one-sided provisions and propose practical negotiating alternatives. I can also support communications and negotiations in Bulgarian, English or German where the transaction has an international element.

Receivables, disputes and regulated activities

Late payment requires a prompt assessment of the documentary and financial risk. A formal demand, secured settlement, payment-order procedure or claim may be appropriate. When defending a claim, objections and evidence must likewise be organised before procedural opportunities are lost.

For licensed or otherwise regulated activities, I assist with applications, changes in registered circumstances and communication with the competent authority. The legal procedure is planned around the business’s operational timetable where the applicable rules permit it.

I begin by understanding the transaction, the activity and the genuine commercial priority. Legal documents should support performance rather than create avoidable procedure. Recommendations therefore distinguish material risk from provisions on which a commercially sensible compromise may be made.

For a corporate procedure, we prepare a clear list of resolutions, documents, signatures and deadlines. For a contract or dispute, responsible persons and necessary communications are identified so that the legal position and the company’s conduct remain consistent. Matters with an international element can be handled in Bulgarian, English or German.

Is a lawyer required to register a company?

Not in every case, but tailored documents reduce the risk of registration refusals and later disputes between shareholders or managers.

Can an agreement be reviewed before signature?

Yes. This is usually the point at which risks can be corrected most efficiently. The review may cover the entire document or particular clauses and annexes.

What can be done about an unpaid invoice?

The agreement, proof of performance, invoice, due date and correspondence are reviewed first. The next step may be negotiation, security, payment-order proceedings or a civil claim.
